Vendor Spotlight: Idera

Idera, Inc. has been around since 2000 and its core product of database analysis tools has been doing pretty well. In the past ten years, the company has been on a spending spree, buying up a long list of companies to expand. The company has also gone through a series of sales and buy-ins that have transformed its ownership from an entrepreneur-led business to a fund-owned multinational.

The Idera story is driven by a very active boardroom and industry analysis struggle to keep up with all the news coming out of the business.

Founding and Background

Idera Inc. is a U.S.-based software company primarily known for its suite of database management, development, and application tools. It was founded by Tien Gah “Alan” Lee in 2000 and is headquartered in Houston, Texas. The company produces database administrators (DBAs), and developers to manage and optimize data systems, especially for SQL Server, Oracle, MySQL, and other database environments.

Lee gave himself the position of Company Secretary and Head of Development. The senior positions in the business were given to John Mercadante (President) and Matt Jordan (CFO). The company initially started by developing tools for database management, especially for Microsoft SQL Server. It gained a strong reputation with its SQL Diagnostic Manager, which helped monitor and optimize database performance.

In 2003, the company was sold to BBS Technologies, which was owned by Rick Pleczko. The Idera company name disappeared for a while but continued as a product line. BBS Technologies specialized in backup systems.

In 2012, Pleczko renamed BBS Technologies to Idera Inc. The transition to the Idera brand was planned by Randy Jakops, who, at the time, acted as an Executive Consultant. Jakops was appointed to the position of Chief Executive Officer (CEO) in June 2013 and he holds that position to this day. In December 2013, Jakops brought Chris Smith on board, who is the company’s Chief Operating Officer (COO) to this day.

Pleczko sold the business to TA Associates in 2014. TA Associates is a private equity firm and still has a number of partners on the board of Idera Inc. – the fund is still a shareholder in the company.

The current Chief Financial Officer (CFO), Trey Chambers joined the company in January 2015 and completed the executive team that we see at Idera, Inc today.

In 2017, TA Associates recapitalized Idera with a $1.125 billion investment from fellow investment fund HGGC, which took a majority stake. HGGC’s Chairman and Founder, Steve Young, became the Chairman of the Board at Idera – a position he still holds.

All the Non-Executive Directors at Idera are partners at the investment funds that own the company. Partners Group bought into Idera in 2019 and supplies three directors.

Company Ownership

Since 2014, Idera, Inc. has been majority-owned by private equity funds. The first fund to buy in was TA Associates, which was the majority owner until 2017, when a large cash injection from HGGC gave that company the largest stake in the business. Partners Group gained a stake through an investment in 2019. However, HGGC is still the majority shareholder in Idera, Inc.

Idera has a clear growth strategy that is based on acquisition. The majority of the acquisitions have been maintained within Idera, Inc as separate divisions and brands and they are not marketed under the Idera name.

  • Tien Gah “Alan” Lee, Founder, Company Secretary, and Head of Development: Alan Lee was the founder and sole owner of Idera, Inc at its creation. Lee sold the business to Rick Pleczko in 2003. Little is known of Lee’s activity since he left Idera.
  • John Mercadante, President/Chairman: Mercadante helped set up Idera, Inc. before the company was taken over by BBS Technology. Since leaving the company, he has been CEO of other technology firms and currently runs a technology consultancy, called Newton Vision Corp. He is simultaneously Executive Vice President of AmeriCasa Software.
  • Matt Jordan, CFO: Jordan successfully ran the company’s finances from 2000 until the sale to BBS Technologies.   • Randy Jakops, CEO: Jakops arrived at Idera in October 2012 as a management consultant to advise the board on formulating a new expansion strategy. This led to him becoming CEO in June 2013. He has continued to lead the business through its changes in ownership, maintaining the continuous strategy of expansion by acquisition.
  • Chris Smith, Chief Operations Officer: Smith has been the COO of Idera since December 2013. He has defined and implemented guidelines for integrating acquisitions into the corporate framework of Idera.
  • Trey Chambers, Chief Financial Officer: Chambers started his career as an auditor but quickly moved up into a financial leadership role and has been a CFO of different businesses since 1999. Chambers has been a steady hand on the books of Idera since January 2015.

During his early years, Young was a professional footballer, succeeding in the NFL for 15 years. The headquarters of Idera, Inc. is located in Austin, Texas. The Idera brand is also based at that location and has another office in Houston, Texas.

Idera acts as a conglomerate rather than as a single business. When it buys a company, it doesn’t integrate it, but just invests, leaving the original company intact. Thus, each acquired division still operates from its own HQ. Idera didn’t move any of its new businesses into its Austin offices.

Idera, Inc. owns so many brands that a review of the company extends into many products that the casual observer would not realize are part of the group. The core Idera brand, however, is still the group’s biggest revenue earner. Of all the products produced by Idera, SQL Diagnostic Manager gets the most attention.

Idera will continue to expand its group through acquisition, increasing its size and growing its asset value, probably at the expense of its annual profit. The earnings strategy of the three private equity funds that own Idera Inc. is not known. However, it is probable that they see a public flotation in the company’s future.
